Step-by-step procedure
- 1
Step 1
1–3 daysReserve the company name online
Create an account on the OCR portal and submit your preferred name with the company objectives. The registrar checks it against existing names and usually replies within a couple of working days.
Office of the Company Registrar (online portal)
Tip: Avoid words like Bank, Insurance or Nepal Government that need special approval.
- 2
Step 2
2–5 daysDraft the memorandum and articles
Prepare the memorandum and articles of association in the format the registrar accepts. Every shareholder signs both documents, and a witness signs alongside them.
Prepared by the founders or their legal advisor
Tip: Decide the authorised and issued capital carefully; the registration fee depends on it.
- 3
Step 3
1 dayUpload documents and pay the registration fee
Scan and upload the signed documents, citizenship copies and photographs to the portal. The fee is calculated from your authorised capital and paid through the portal or a bank voucher.

Step 4
2–7 daysRespond to registrar queries
An officer reviews the file and may ask for corrections, such as a clearer objective clause or a missing signature. Fixing these quickly keeps the application moving.
Office of the Company Registrar
Tip: Check the portal every day; queries are not always sent by SMS.
- 5
Step 5
1–2 daysCollect the certificate of incorporation
Once approved, the registrar issues the certificate of incorporation and stamps the original memorandum and articles. Bring the originals and a company representative to collect them.

Step 6
1–3 daysRegister for PAN and, if needed, VAT
Take the certificate, memorandum and office proof to the Inland Revenue Office to obtain a Permanent Account Number. VAT registration is added if your turnover or business type requires it.
Inland Revenue Department (IRD)
Tip: Open the company bank account right after PAN; the bank will ask for both documents.
- 7
Step 7
Within 3 monthsComplete post-registration filings
Within the first months the company must file its share allotment details and hold the first board meeting. Missing these early filings leads to fines that add up each year.
